The Position

Seeking transactional attorney with expertise in structuring,drafting and negotiating transactions with regional, national and internationalpartners.  Although the successfulcandidate will be part of a team of transactional attorneys, s/he must be ableto work closely and independently with internal domestic/international research,business, manufacturing, finance and tax units.

Job Description:

Responsibilities include:

Ø Structuring,drafting and negotiating in-licensing and out-licensing of intellectualproperty, including evaluation/research/development collaborations with bothprivate and public entities, manufacture and supply agreements, strategicalliances, mergers and acquisitions;

Ø Partnering with representatives of otherdepartments on transactions;

Ø Managing outside counsel in complextransactional matters;

Ø Advising on complex issues in support of collaborationswith outside partners;

Ø Mentoring and supervising junior attorneys and contractassociates; and

Ø Contributing to cross-functional or departmentalprojects and teams.

Technologies include:

Ø Technology and drug delivery platforms;

Ø Research tools and process technologies;

Ø Drug discovery and development; and

Ø Process development and manufacturing (large andsmall molecules).
Who You Are

MinimumRequirements include:

Ø  J.D. with Bar admission and 7 to 10 years’ experience,with at least 4 years experience in the practice of licensing of patent andknow-how rights, and with at least 5 years’ experience in a law firm;

Ø Demonstrated experience in resolving challenginglegal issues and ability to deliver sound, clear, practical legal advice in abusiness setting;

Ø Good judgment and excellent writing, communication,and interpersonal skills;

Ø  Outstanding communicationskills, both verbal and written;

Ø  Superior client relationsskills;

Ø  Ability to multi-task withease;

Ø  Ability to work both in ateam and independently;

Ø  Good negotiation skills; and

Ø  Ability to travel worldwide inconjunction with negotiating transactions.

Preferred Requirements include:

Ø 4+ years of experience of licensing in thepharmaceutical, biotechnology or life science industry;

Ø 2+ years in-house experience; and

Ø biology/chemistry undergraduate/graduate degree
