excellent career opportunity for a Senior Legal Counsel role in our New
York office. Individual will be responsible for assisting the Head of
Legal, Compliance and Operational Risk with discrete projects. In
addition, this individual will function autonomously to negotiate
complex legal agreements including, but not limited, to Investment
Management Agreements, Distribution Agreements, ISDAs, Repurchase
Agreements, Futures Agreements, Wrap Agreements and other commercial
agreements (vendor contracts, real estate leases).

- Participate in the structuring of alternative investment products, securitization vehicles and sophisticated strategic ventures (including partnerships, mergers and acquisitions, and other corporate transactions).
- Provide support with respect to global investment management regulatory matters and advice on legal and general business risk.
- Provide support to collective investment trusts.
- Coordinate with compliance professionals to draft and implement procedures and controls to comply with new regulatory initiatives.
- Manage significant legal assignments for the firm (e.g. collateral management initiatives, Dodd Frank Protocol, OTC clearing agreements).
- Assist with corporate governance.

Academic Background and Experience:
- Minimum of 7+ years’ experience in legal/compliance/risk-oversight related department with exposure to global fixed income asset management (retail and/or institutional).
- Experience with the Investment Advisers Act, Investment Company Act, Commodity Exchange Act, Securities Exchange Act, Securities Act, Foreign Corrupt Practices Act, Volcker Rule, ERISA and other related rules and regulations.
- Experience with European fund structures including but not limited to UCITs, QIFs, SIFs.
- Deep knowledge of both equity and fixed income asset management products.
- Exposure to structured financial products, public offerings and real estate investment trusts as well as related corporate and securities experience.
- A good understanding of investments, benchmarks and guidelines.
- JD Degree and LLM a plus.
- Fluency in French a plus, but not essential.
