As Senior Contracts Manager, you will join the Software Center of Excellence and be responsible for executing technology licensing within GE’s Software & Analytics group.
In this role you will:

  • Broker agreements for software and IP from external companies (from startups to Fortune 100) into the software group, and also from the software group to out to our strategic partners and respective customers
  • Be accountable for ongoing management and measurement of the relationship
  • Participate in structuring long-term agreements between GE and its strategic technology partners
  • Manage long term arrangements
  • License in and out many pieces of technology, embedding software and IP in services offerings
  • Manage complex agreements that will require some fairly robust contracts with non-standard / custom terms and conditions, including but not limited to white-labeling, OEM, ROFN / ROFR, source code escrow, change of control protection, liquidated damages, IP sharing or protection, etc.
  • Work closely with the CTO’s office, Product Management, Operations and Legal to:

    • Set negotiation strategy
    • Perform proper due diligence of external companies
    • Assure agreed to terms and conditions are in compliance with GE standards
    • Develop a process to maintain proper contract database and storage of applicable documents that meet legal requirements as well as GE corporate standards
  • Bachelor’s Degree
  • Minimum of 10 years of contract management and negotiation experience in technology companies, including a track record structuring and comprehension of binding framework agreements between large organizations

  • Master’s Degree or JD
  • Track record of success at one or more of:

    • Embedding 3rd party technology in software or services offerings through OEM relationships
    • Setting up and managing strategic alliances between two large organizations
    • Experience in Patent or Intellectual Property issues
    • Skills in structuring of multiple deal types (license, OEM, reseller etc.) with many complex terms and conditions (Intellectual property protection, ROFN, change of control, liquidated damage etc.)
    • Outstanding negotiations skills – getting to win/win agreements
    • Ability to handle multiple priorities and requests in a fast-paced environment promptly and effectively
  • Efficiently organize and self-manage workload & priorities, and work unsupervised
