Job Summary & Responsibilities
Duties: Develop market views to provide day to day execution judgments to issuers. Manage live deal execution, including running due diligence processes, negotiating non-disclosure agreements and other legal documents with lawyers and clients, organizing and attending deal and non-deal roadshows and liaising other investment banks and other parties within the investment banking division. Initiating and soliciting dialogue with new clients to the firm on strategic alternatives and capital markets opportunities for those clients. Attending industry specific conferences to meet and interact with new clients. Generating ideas / topics for client meetings with existing clients (e.g. assisting clients in identifying potential markets and financing alternatives) and socializing those ideas with the internal deal teams, the clients’ CFO, treasurer and management teams. Present to CFO/Treasurer level corporate clients in the different industries and countries on topics such as capital markets activities, restructuring alternatives and corporate governance issues at board meetings and pitches and on conference calls. Interacting with senior management on a daily basis to execute projects, provide updates and advice and prepare presentation materials. Lead dialogue when liaising with senior bankers and various product experts throughout the firm. Supervise and coordinate the work of analysts / more junior members of the deal team. Analyze accounting and regulatory statements, debt and equity filings and documents, M&A agreements and documents, and financial projections and models as prepared in various formats by clients (in English and Spanish). Review financial models including corporate operating models, M&A, DCF and LBO valuations and models, incorporating corporate finance concepts, GAAP (or foreign equivalent) principles, and regulatory requirements.Work Schedule: 40 hours per week (9:00 a.m. to 6:00 p.m.)
Job Requirements: Bachelors degree (US or foreign equivalent) in Finance, Economics or a related field plus three (3) years of experience working with capital markets. Prior work experience must include three (3) years: understanding the basics of accounting with regards to the income statement, cash flow statement, and balance sheet to enable financial modeling to analyze cash flows, growth, margins, leverage, and other accounting-specific metrics; preparing client presentations in Microsoft Word and PowerPoint for corporate board meetings, investment banking pitches on corporate finance topics, as well as management, roadshow and ratings agency presentations; understanding specific roles, timing, deliverables, and scope of work required for the investment bank in working for clients in equity and debt transaction; utilizing Microsoft Word, PowerPoint and Excel including detailed logic and finance formulas, data tables, filters, and pivot tables to reference and analyze large quantities of data and facilitate financial modeling; working with complex legal documents including credit agreements, stock purchase agreements, accounting and regulatory statements, debt and equity filings and M&A agreements; liaising with capital markets specialists to create appropriate deal structures; utilizing capital markets expertise and familiarity to understand current investors in securities and analyze their propensity to participate in new offerings; analyzing structure, pricing and covenant features of a wide array of fixed income products including unsecured, secured and convertible bonds; and analyzing legal documentation and contracts governing fixed income securities. Proficiency in Spanish. Must be willing to travel. Series 7 and 63 required.
